These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Forjyn Technologies Inc., a for-profit corporation incorporated under the laws of Ontario, Canada (“Forjyn,” “we,” “us,” or “our”).
These Terms govern your access to and use of the Forjyn website, mobile applications, digital platform, software, artificial-intelligence features, communications tools, due-diligence rooms, subscription services and related products and services that link to or incorporate these Terms collectively, the “Service” or “Platform”.
Please read these Terms carefully. By creating an account, selecting a checkbox indicating acceptance, purchasing a subscription, accessing the Service or otherwise using the Service, you represent that you have read, understood and agree to be bound by these Terms.
Our Privacy Policy explains how we collect, use, disclose, retain and safeguard personal information. The Privacy Policy is incorporated into these Terms by reference, but it does not limit any privacy rights available under applicable law.
If you do not agree to these Terms, you must not access or use the Service.
Certain features, subscriptions, programs or services may be subject to additional terms, order forms, subscription details, policies or written agreements. If there is a conflict, the more specific terms will govern with respect to the applicable feature or transaction, except to the extent prohibited by law.
1. Definitions
For the purposes of these Terms:
“Accredited Investor” means an individual or entity that qualifies as an accredited investor under applicable Canadian securities laws, including National Instrument 45-106 – Prospectus Exemptions, as amended from time to time.
“Applicable Laws” means all federal, provincial, territorial, municipal and foreign laws, statutes, regulations, rules, orders and legally binding regulatory requirements that apply to the relevant person, conduct, transaction, content or use of the Service.
“Applicable Securities Laws” means applicable securities laws, regulations, rules, instruments, blanket orders and legally binding regulatory requirements, including those administered by the Ontario Securities Commission and other Canadian securities regulators.
“Authorized User” means an individual who is permitted by an account owner or subscribing organization to access the Service under that account or subscription.
“Consumer” means an individual acting for personal, family or household purposes and not for business purposes, to the extent recognized as a consumer under Applicable Laws.
“Customer Content” means User Content submitted, uploaded, stored, transmitted or otherwise made available by or on behalf of a User through the Service.
“Due Diligence Room” means a restricted-access area of the Service through which Users may upload, organize, review, share or analyze documents and information.
“Ecosystem Partner” means an incubator, accelerator, angel group, venture organization, educational institution, government-related organization, service provider or other organization using the Platform to support or administer activities involving startups, investors or other Platform participants.
“Issuer” means a company, fund, partnership or other entity that offers, proposes to offer or has issued securities.
“Investment Opportunity” means a business, financing, fund, issuer, transaction or potential investment opportunity displayed, described or otherwise made available through the Service.
“Investor” means a User who accesses or uses the Platform to identify, review, assess or communicate regarding potential Investment Opportunities.
“Personal Information” has the meaning assigned under applicable privacy law.
“Platform Content” means all software, interfaces, designs, graphics, text, databases, compilations, analytics, documentation and other content made available through the Service by Forjyn or its licensors, excluding User Content.
“Service Provider” means a third party that processes information or provides infrastructure, hosting, payment processing, communications, analytics, security, artificial intelligence, verification or other services for or on behalf of Forjyn.
“Startup” means a founder, company or organization that uses the Service to present business information, seek connections, obtain support, participate in programs or explore potential financing.
“Subscription” means a paid right to access designated features of the Service for a specified billing period.
“User,” “you,” or “your” means an individual or legal entity accessing or using the Service.
“User Account” means an account registered to access the Service.
“User Content” means information, data, documents, communications, images, recordings, transcripts, pitch decks, financial materials, cap tables, corporate records, due-diligence materials and other content submitted, uploaded, posted, transmitted or otherwise made available by or on behalf of a User through the Service.
2. Eligibility and Authority
You must be at least eighteen years old and have the legal capacity to enter into a binding agreement to use the Service.
By accessing or using the Service, you represent and warrant that:
a. you are legally capable of entering into these Terms;
b. the information you provide is accurate, current and complete;
c. you are not prohibited from using the Service under Applicable Laws;
d. your use of the Service will comply with these Terms and Applicable Laws; and
e. you will not use the Service on behalf of any person or organization without authorization.
If you access or use the Service on behalf of a corporation, partnership, fund, institution or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, references to “you” include both you and that organization.
The Service is not intended for minors. We do not knowingly permit individuals under eighteen years old to create User Accounts.
3. User Accounts and Account Security
Certain features require a User Account.
You agree to:
a. provide accurate, current and complete registration information;
b. maintain and promptly update your account information;
c. keep your login credentials confidential;
d. use reasonable security measures to protect your account;
e. restrict access to your account and devices;
f. remain responsible for activity conducted through your account, except to the extent caused directly by Forjyn’s breach of these Terms or Applicable Laws; and
g. notify us promptly at legal@forjyn.com or support@forjyn.com if you become aware of suspected unauthorized access, credential compromise or other account-related security concerns.
You may not share an individual account with unauthorized persons, transfer your account, sell access credentials or create an account using false or misleading information.
We may require identity, email, organizational or account verification before permitting access to specified features.
4. Nature of the Service
Forjyn operates a technology platform designed to facilitate discovery, information sharing, communication, document review, program administration and connections among startups, investors, Ecosystem Partners, service providers and other authorized participants.
Forjyn is not:
a. an investment dealer, broker, adviser, underwriter, investment fund manager, portfolio manager or securities exchange;
b. registered with the Ontario Securities Commission or another securities regulator to engage in registrable securities activity;
c. an issuer or seller of securities merely because an Investment Opportunity appears on the Platform;
d. a party to transactions independently negotiated or completed between Users;
e. a custodian, escrow agent, transfer agent or payment intermediary for investment capital;
f. a law firm, accounting firm, tax adviser, investment adviser or financial adviser; or
g. a guarantor of any User, issuer, fund, Investment Opportunity, financing, return, outcome or obligation.
Except where expressly stated in a separate written agreement, Forjyn does not:
a. offer, sell, distribute or issue securities;
b. solicit or accept orders to buy or sell securities;
c. recommend that a User purchase, sell or hold a particular security;
d. negotiate investment terms on behalf of Users;
e. determine investment suitability;
f. certify securities-law compliance;
g. certify or complete due diligence on behalf of Users; or
h. execute or settle securities transactions.
Information, rankings, matches, scores, summaries, profiles and communications made available through the Service are provided for technology-facilitation and informational purposes only.
5. No Professional, Fiduciary or Advisory Relationship
Your use of the Service does not create an adviser-client, broker-client, fiduciary, agency, partnership, joint-venture, employment, legal, accounting, tax, financial-planning or other professional relationship between you and Forjyn.
Forjyn does not owe you a fiduciary duty merely because you use the Service, receive a match, view an opportunity, communicate with another User or receive an AI-generated output.
You are solely responsible for obtaining independent legal, financial, investment, accounting, tax, technical and other professional advice appropriate to your circumstances.
6. Securities-Law Responsibilities
Securities laws may regulate the offer, sale, distribution, promotion and purchase of securities. Securities may include shares, partnership interests, units, convertible securities, simple agreements for future equity, warrants, options, debt instruments, promissory notes and other investment instruments.
Users are independently responsible for understanding and complying with Applicable Securities Laws.
Without limiting the foregoing:
a. each Issuer is responsible for determining whether its activities constitute an offering or distribution of securities;
b. each Issuer is responsible for preparing accurate disclosure and complying with applicable prospectus, registration, filing, reporting and exemption requirements;
c. each Issuer or other responsible regulated party is responsible for determining whether a prospective investor satisfies the requirements of any relied-upon exemption;
d. each Investor is responsible for determining whether an investment is lawful, appropriate and consistent with the Investor’s objectives and circumstances;
e. Users are responsible for obtaining their own professional advice; and
f. no Platform feature, verification result, label, badge, score or document constitutes regulatory approval.
Nothing on the Platform is intended to constitute an offer to sell or solicitation of an offer to buy securities by Forjyn.
An Issuer’s User Content may constitute an offer, solicitation or other regulated communication by that Issuer or another responsible party. That party, and not Forjyn, is solely responsible for the legal characterization and compliance of that content.
7. Investor Representations
A User registering or participating as an Investor may be asked to provide or confirm information concerning investment experience, eligibility, accreditation, permitted-client status, financial qualifications or other matters.
Any representation made by an Investor is made by that Investor and must be accurate, complete and not misleading.
Forjyn may collect, organize, transmit or support verification of Investor information where requested by a participating investment organization or other authorized party. However:
a. Forjyn does not independently guarantee an Investor’s legal status;
b. administrative verification does not constitute legal advice, suitability analysis or regulatory approval;
c. Forjyn’s acceptance of documentation does not determine whether a securities-law exemption is available; and
d. the Issuer, fund operator, dealer or other legally responsible party remains responsible for making any legally required determination.
You must promptly update information if your eligibility, accreditation or other relevant circumstances change.
8. Startup, Issuer and Fund Responsibilities
Each Startup, Issuer, fund operator and organization submitting an Investment Opportunity represents and warrants that:
a. it has authority to create its account and submit its User Content;
b. its User Content is accurate, current, complete and not misleading in any material respect;
c. it will promptly correct or update information that becomes inaccurate, incomplete or misleading;
d. it owns or has all necessary rights and permissions to submit and share its User Content;
e. its User Content does not infringe intellectual-property, privacy, confidentiality, contractual or other rights;
f. it has obtained all necessary consents to disclose Personal Information included in its User Content;
g. it will comply with Applicable Laws, including Applicable Securities Laws;
h. it will not make false, unsubstantiated or misleading claims concerning performance, valuation, traction, customers, contracts, intellectual property, regulatory approval, financial projections, investment returns or other matters;
i. it will not represent that Forjyn has endorsed, approved, certified or verified it or its Investment Opportunity unless Forjyn has expressly authorized that representation in writing; and
j. it is responsible for all offering documents, disclosures, filings and communications made to prospective investors.
Forjyn is not responsible for reviewing or verifying all User Content and is not obligated to identify inaccuracies, omissions, misconduct or regulatory non-compliance.
9. Investment Risks and User Due Diligence
Early-stage, private-company, venture-capital and private-market investments are speculative and involve substantial risk.
Risks may include:
a. loss of some or all invested capital;
b. lack of liquidity or an inability to sell securities;
c. dilution;
d. uncertain valuations;
e. limited operating history;
f. incomplete or unaudited information;
g. business failure;
h. regulatory, market, technology and execution risk;
i. conflicts of interest;
j. lack of dividends or distributions;
k. extended holding periods; and
l. dependence on founders, employees, customers, suppliers or financing.
Past performance, projections, forecasts, scores and estimates do not guarantee future results.
You are solely responsible for independently evaluating each opportunity, reviewing relevant documents, investigating material facts, obtaining professional advice and making your own decisions.
10. Artificial Intelligence and Automated Processing
The Service may include artificial-intelligence, machine-learning, natural-language-processing, algorithmic and other automated features.
These features may include:
a. document summaries;
b. question answering based on uploaded due-diligence materials;
c. profile evaluations;
d. opportunity scoring;
e. completeness or profile completeness indicators;
f. document organization and extraction;
g. contextual insights;
h. suggested questions or areas for investigation;
i. matching between Users or opportunities;
j. transcription or analysis of recordings uploaded or enabled by a User; and
k. other analytical or assistance tools.
AI features may process User Content, including profiles, pitch decks, financial information, cap tables, business materials, messages, notes, transcripts, recordings and documents submitted to a Due Diligence Room.
AI-generated and automated outputs:
a. may be inaccurate, incomplete, outdated, biased, misleading or unsuitable for a particular purpose;
b. may omit significant information;
c. may not reflect developments occurring after the underlying information was created;
d. may depend on the quality and completeness of User Content;
e. are not independently verified merely because they appear on the Platform;
f. are provided for informational and decision-support purposes only;
g. do not constitute legal, tax, accounting, financial, investment, regulatory or other professional advice;
h. do not constitute a due-diligence report, fairness opinion, valuation, audit, certification, recommendation or guarantee; and
i. must not be relied upon as the sole basis for an investment, legal, compliance or other material decision.
You are responsible for independently reviewing and verifying all AI-generated outputs before relying on them.
Unless expressly stated otherwise, Forjyn does not use AI-generated outputs to make final, fully automated decisions that produce legal or similarly significant effects concerning investment eligibility, regulatory compliance, Platform access or account status without meaningful human involvement.
To deliver AI functionality, User Content may be processed by Service Providers acting on Forjyn’s behalf, as described in the Privacy Policy.
Forjyn does not use Customer Content to train publicly available artificial-intelligence models.
You must not submit highly sensitive information to an AI feature unless the feature is expressly designed to process it and you are legally authorized to do so.
If you upload a recording, transcript, meeting note or other material containing information about another person, you represent and warrant that you have provided all required notices and obtained all legally required consents.
11. Algorithmic Matching, Rankings and Visibility
The Service may generate or display matches, rankings, scores, labels, indicators, filters, recommendations or visibility results based on submitted information, selected criteria, Platform activity or automated systems.
These outputs:
a. are not endorsements, guarantees or certifications by Forjyn;
b. do not establish that an opportunity is suitable or lawful;
c. do not establish that a User is credible, qualified, compliant or investment-ready;
d. may change as information, algorithms, criteria or Platform functionality changes; and
e. may not include every potentially relevant User or opportunity.
Forjyn may test, modify, suspend or discontinue algorithms and ranking methodologies, subject to Applicable Laws and any express contractual commitments.
Users may not manipulate rankings, fabricate engagement, create misleading profiles or otherwise attempt to improperly influence Platform outputs.
12. Identity Verification and Compliance Administration
The Service may support identity verification, accreditation-document administration, anti-fraud controls and AML-related administrative processes requested by participating organizations.
This support may include collecting information, displaying forms, transmitting documents to authorized parties, using third-party verification services and recording administrative status.
Unless expressly agreed otherwise in writing:
a. Forjyn does not undertake the statutory KYC, AML, beneficial-ownership, sanctions-screening, suitability or other regulatory obligations of an Issuer, fund, dealer, financial institution or regulated party;
b. Forjyn does not guarantee the authenticity or continuing accuracy of submitted information;
c. verification does not constitute a background check, legal opinion, regulatory determination, endorsement or certification; and
d. each legally responsible party remains responsible for its own compliance obligations.
You authorize Forjyn to process verification information as described in the Privacy Policy and to make it available to authorized Users or Service Providers where necessary to provide the requested functionality.
13. User Content
You retain ownership of your User Content, subject to the rights granted in these Terms.
You are solely responsible for your User Content and the consequences of submitting, sharing or making it available.
By submitting User Content, you represent and warrant that:
a. you own the User Content or possess all necessary rights, licences, permissions and consents;
b. submission and use of the User Content as contemplated by these Terms will not violate Applicable Laws or third-party rights;
c. the User Content is not knowingly false, fraudulent, defamatory, unlawful or materially misleading;
d. you are authorized to disclose any confidential or proprietary information contained in the User Content;
e. you have provided required privacy notices and obtained required consents for Personal Information relating to other individuals; and
f. the User Content does not contain malicious code or technologies intended to disrupt or compromise the Service.
You grant Forjyn a worldwide, non-exclusive, royalty-free, sublicensable licence, for the period during which the User Content is submitted to or retained through the Service, to:
a. host, store, cache, reproduce, process, transmit and display User Content;
b. convert formats and create technical copies;
c. scan User Content for security, fraud, misuse and compliance purposes;
d. make User Content available to Users you authorize or to whom access is provided through the Service;
e. process User Content using AI and automated technologies where applicable;
f. use Service Providers to perform the activities described above; and
g. otherwise use User Content as reasonably necessary to operate, maintain, secure and support the Service in accordance with these Terms and the Privacy Policy.
Forjyn may use aggregated, anonymized or de-identified information derived from use of the Service to analyze, evaluate and improve the Service, provided that such information does not reasonably identify a User or other individual. Forjyn does not use Customer Content to train publicly available artificial-intelligence models. Any use of identifiable Customer Content to train or materially improve a proprietary artificial-intelligence model would require appropriate notice, authority and consent where required by Applicable Laws.
This licence does not transfer ownership of User Content to Forjyn.
Forjyn will not publicly distribute your private Customer Content except as directed or authorized by you, as reasonably necessary to provide the Service, as described in the Privacy Policy or as required or permitted by law.
Communications exchanged between Users are User Content and are attributable solely to the Users who send them. Forjyn does not author, approve, endorse or verify User communications merely because they are transmitted through the Service. Users are responsible for ensuring that their communications comply with Applicable Laws, including securities, privacy, confidentiality, advertising and anti-spam requirements.
14. Due Diligence Rooms and Access Permissions
Due Diligence Rooms may permit Users to control or request access to documents and other materials.
The party uploading or controlling a Due Diligence Room is responsible for:
a. determining which Users should receive access;
b. reviewing and maintaining access permissions;
c. removing access when it is no longer appropriate;
d. ensuring that materials may lawfully be disclosed;
e. using appropriate confidentiality agreements where required; and
f. complying with obligations owed to third parties.
Recipients must use Due Diligence Room materials only for the authorized purpose and subject to these Terms and any additional confidentiality obligations.
Forjyn may provide technical access controls but does not guarantee that every recipient will comply with its obligations or that confidential information will never be copied, downloaded, photographed, disclosed or misused.
Users should not upload information whose unauthorized disclosure would create an unacceptable risk unless appropriate safeguards and contractual protections are in place.
15. Confidential Information
For the purposes of these Terms, “Confidential Information” means non-public information disclosed through the Service that is marked confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.
Confidential Information may include business plans, product information, financial information, forecasts, cap tables, customer information, technology, trade secrets, intellectual property, financing information and due-diligence materials.
Confidential Information does not include information that the receiving User can demonstrate:
a. was lawfully known without a confidentiality obligation before disclosure;
b. becomes publicly available without breach of an obligation;
c. is received lawfully from a third party without a confidentiality obligation; or
d. is independently developed without use of the Confidential Information.
A receiving User must:
a. use Confidential Information only for the purpose for which access was granted;
b. not disclose it except to professional advisers, employees or representatives who need to know it and are subject to appropriate confidentiality obligations;
c. protect it using at least reasonable care;
d. not use it to compete unfairly, misappropriate opportunities or violate Applicable Laws; and
e. promptly notify the disclosing party of known unauthorized access or disclosure.
A user may disclose Confidential Information where required by law, subpoena or binding legal process, provided that, where legally permitted, the User gives prompt notice to the disclosing party and reasonably cooperates in seeking confidential treatment.
Forjyn is not a party to any separate non-disclosure agreement between Users unless Forjyn expressly signs that agreement.
These confidentiality obligations continue for so long as the information remains Confidential Information. Obligations concerning trade secrets continue for so long as the information qualifies as a trade secret under Applicable Laws.
16. Co-Founder, Team and Organizational Accounts
A Startup, Investor, Ecosystem Partner or other organization may invite Authorized Users to access an organizational account.
The account owner or organization is responsible for:
a. authorizing appropriate individuals;
b. assigning and reviewing permissions;
c. removing access when an individual’s role changes or ends;
d. ensuring Authorized Users comply with these Terms; and
e. resolving internal disputes concerning ownership, authority, account control and User Content.
Forjyn may rely on instructions from the registered account owner or an authorized administrator unless Forjyn has actual notice of a dispute.
Forjyn is not responsible for disputes between founders, shareholders, directors, employees, contractors, investors or other organizational participants.
Where an account-control dispute arises, Forjyn may temporarily restrict changes or access while the parties resolve the dispute or provide satisfactory evidence of authority.
17. Acceptable Use and Prohibited Conduct
You may use the Service only for lawful purposes and in accordance with these Terms.
You must not, directly or indirectly:
a. violate Applicable Laws or third-party rights;
b. offer, sell, promote or solicit securities unlawfully;
c. misrepresent your identity, authority, organization, Investor status, accreditation, qualifications, affiliations or intentions;
d. submit false, fraudulent, deceptive, incomplete or materially misleading information;
e. impersonate another person or organization;
f. create accounts through unauthorized automated means;
g. use the Service for fraud, money laundering, terrorist financing, sanctions evasion, market manipulation or other unlawful activity;
h. upload unlawful, infringing, defamatory, threatening, harassing, discriminatory, obscene or malicious content;
i. upload malware, viruses, ransomware, spyware, harmful code or destructive technologies;
j. interfere with, disrupt, overload or compromise the Service or connected systems;
k. attempt to bypass access controls, authentication measures, rate limits or security features;
l. access another User’s account or restricted information without authorization;
m. scrape, crawl, harvest, index, copy or extract Platform data through automated means except as expressly authorized in writing;
n. use Platform data to construct, train or improve a competing database, product, model or service without written authorization;
o. reverse engineer, decompile, disassemble or attempt to derive source code, models, algorithms or non-public technical information, except to the limited extent such restriction is prohibited by law;
p. remove or alter proprietary notices;
q. resell, sublicense, lease or commercially exploit access to the Service except as expressly authorized;
r. send spam, unsolicited promotions or unauthorized solicitations;
s. misuse another User’s confidential or Personal Information;
t. manipulate rankings, scores, engagement metrics, recommendations or visibility;
u. use AI outputs to make unlawful discriminatory decisions;
v. submit information to an AI feature without required rights, notices or consents;
w. use the Service to create or distribute deceptive synthetic media, fraudulent documents or misleading impersonations;
x. interfere with another User’s use of the Service; or
y. encourage, assist or permit another person to engage in prohibited conduct.
We may investigate suspected violations and may remove content, restrict functionality, suspend access, preserve records or cooperate with lawful authorities where reasonably necessary.
18. Platform Intellectual Property
The Service and Platform Content are owned by Forjyn or its licensors and are protected by copyright, trademark, trade-secret and other intellectual-property laws.
Subject to these Terms and payment of applicable fees, Forjyn grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Service for your authorized internal business or personal purposes.
No ownership interest in the Service or Platform Content is transferred to you.
Except as expressly permitted, you may not reproduce, distribute, publicly display, modify, create derivative works from, sell, license, exploit or otherwise use Platform Content.
“Forjyn,” associated logos and other Forjyn marks are trademarks or trade names of Forjyn. You may not use them without prior written permission.
19. Feedback
If you provide ideas, suggestions, recommendations or other feedback concerning the Service, you grant Forjyn a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right to use, reproduce, modify, commercialize and otherwise exploit that feedback without restriction or compensation.
This provision does not authorize Forjyn to identify you publicly as the source of feedback without permission.
20. Third-Party Services and Links
The Service may integrate with, rely on or link to third-party websites, applications, payment processors, verification providers, analytics providers, cloud services, AI providers or other services.
Third-party services are governed by their own terms and privacy practices.
Forjyn does not control and is not responsible for:
a. third-party content, availability, security or performance;
b. representations made by third parties;
c. transactions between you and a third party; or
d. loss arising from your use of a third-party service, except to the extent caused by Forjyn and not lawfully excludable.
The inclusion of a link or integration does not imply endorsement.
21. Fees, Pricing and Taxes
Certain features require payment.
Applicable prices, billing periods, included features, renewal terms and other material payment information will be disclosed before purchase or in an applicable order form.
Unless expressly stated otherwise:
a. prices are quoted in Canadian dollars;
b. applicable taxes are additional;
c. you are responsible for taxes imposed on your purchase, excluding taxes based on Forjyn’s net income;
d. payments are processed through a third-party payment processor;
e. you authorize Forjyn and its payment processor to charge the payment method provided for amounts properly due; and
f. Forjyn does not directly store complete payment-card information.
Forjyn will not impose undisclosed mandatory fees. Any mandatory non-government charge will be disclosed in accordance with Applicable Laws.
The total amount payable, or the method by which it will be calculated, will be disclosed before you complete a purchase.
You must provide accurate billing information and promptly update changes.
Payments made to Forjyn for subscriptions, memberships or Platform services are payments for access to the Service and are not investment funds, capital contributions, subscriptions for securities or deposits into an investment account.
22. Subscriptions and Automatic Renewal
If you purchase a recurring Subscription, the Subscription will automatically renew for successive billing periods of the duration disclosed at checkout unless cancelled before the renewal date.
Before purchase, Forjyn will disclose the applicable:
a. Subscription price;
b. billing frequency;
c. Subscription term;
d. renewal structure;
e. included features;
f. taxes and mandatory charges;
g. cancellation method; and
h. any trial or promotional conditions.
By purchasing an automatically renewing Subscription, you authorize recurring charges to your selected payment method until cancellation.
You may cancel through available account settings or by contacting support@forjyn.com.
Unless otherwise disclosed, cancellation takes effect at the end of the current paid billing period, and you will retain access until that time.
Cancelling a Subscription does not automatically delete your User Account.
23. Free Trials and Promotions
Forjyn may offer free trials, promotional prices, credits or limited-access periods.
Trial and promotion terms may include eligibility restrictions, expiry dates, usage limits and automatic conversion to a paid Subscription.
Where a trial converts automatically to a paid Subscription, the price, conversion date, billing frequency and cancellation method will be disclosed before enrolment.
Forjyn may modify or discontinue a promotion prospectively, but will honour legally binding commitments already accepted, subject to the applicable promotion terms and Applicable Laws.
24. Price Changes
Forjyn may change Subscription prices prospectively.
Price changes will not apply retroactively to amounts already paid.
For automatically renewing Subscriptions, Forjyn will provide notice of a material price change before the change takes effect, in accordance with Applicable Laws and any applicable Subscription terms.
If you do not agree to a prospective price change, you may cancel before the next renewal.
25. Refunds, Cancellation Rights and Consumer Protection
Except where otherwise stated at checkout, in an order form or required by Applicable Laws, fees are non-refundable once charged.
However, nothing in these Terms limits any mandatory refund, cancellation, rescission, reimbursement or other right available under Applicable Laws.
A consumer may have statutory rights concerning online agreements, including rights relating to:
a. required pre-contract disclosure;
b. an express opportunity to accept, decline or correct errors;
c. receipt of a written or retainable copy of an agreement;
d. unauthorized charges;
e. materially different services;
f. unfair practices; and
g. other circumstances prescribed by law.
If a mandatory legal right conflicts with these Terms, the mandatory legal right will govern.
Requests concerning billing or legally required refunds may be submitted to support@forjyn.com.
26. Failed Payments and Chargebacks
If a payment fails, is declined, is reversed or becomes overdue, Forjyn may:
a. retry the payment method;
b. request updated payment information;
c. suspend paid features;
d. downgrade the account; or
e. terminate the applicable Subscription after reasonable notice where appropriate.
You must not initiate a fraudulent or abusive chargeback.
This section does not limit your right to dispute an unauthorized or incorrect charge or to exercise rights under Applicable Laws.
27. Platform Credits, Rewards and Promotional Benefits
The Service may offer credits, points, badges, rewards, discounts or promotional benefits.
Unless expressly stated otherwise:
a. they have no cash value;
b. they are not legal tender, securities, stored value or deposits;
c. they may not be sold, transferred or exchanged;
d. they may be subject to eligibility rules, limits and expiry dates;
e. they may be corrected or revoked if issued through error, fraud or misuse; and
f. they may expire upon account deletion or termination, subject to Applicable Laws.
Forjyn may prospectively modify or discontinue a rewards program, but will not do so in a manner prohibited by Applicable Laws.
28. Electronic Communications
You consent to receive electronic communications necessary to administer your account and provide the Service, including:
a. security notices;
b. verification messages;
c. billing notices;
d. transaction confirmations;
e. changes affecting your Subscription;
f. legal notices;
g. account notices; and
h. operational and service-related communications.
These communications are not necessarily marketing messages and may be required to maintain your account.
Commercial electronic messages for which one or more purposes is to encourage participation in a commercial activity will be sent only where permitted by Applicable Laws, including Canada’s Anti-Spam Legislation.
Where consent is required for marketing messages, Forjyn will request consent separately or through a clearly identified opt-in mechanism.
Marketing messages will include required sender identification and an unsubscribe mechanism.
You may withdraw marketing consent at any time. Withdrawing marketing consent will not prevent necessary service, legal, security or transactional communications.
29. Privacy and Personal Information
Forjyn’s collection, use, disclosure, retention and safeguarding of Personal Information are described in the Privacy Policy.
As further described in the Privacy Policy and subject to any consent required by Applicable Laws, the Service may process:
a. account and profile information;
b. Investor and Startup information;
c. identification and eligibility documents;
d. communications;
e. User Content;
f. technical and usage information;
g. payment-related information processed through a payment provider;
h. analytics and tracking information; and
i. information processed through AI-enabled features.
Nothing in these Terms constitutes consent to a collection, use or disclosure of Personal Information where separate, express or contextual consent is required by Applicable Laws.
You must not use Personal Information obtained through the Service for an unauthorized purpose.
Privacy questions and requests may be directed to the Privacy Officer identified in the Privacy Policy.
30. Account Deletion and Data Retention
You may request deletion of your account through available Platform settings or by contacting support@forjyn.com.
Account deletion may result in:
a. loss of access to the Service;
b. termination of active permissions;
c. removal or anonymization of certain Personal Information;
d. removal of User Content from active Platform views; and
e. forfeiture of unused credits or promotional benefits, subject to Applicable Laws.
Deletion is not necessarily immediate and does not require Forjyn to delete information that it is required or permitted to retain.
Forjyn may retain information for purposes including:
a. legal and regulatory compliance;
b. fraud prevention;
c. security;
d. dispute resolution;
e. enforcement of agreements;
f. financial and accounting records;
g. audit logs;
h. backups; and
i. establishment, exercise or defence of legal claims.
Retention and deletion practices are further described in the Privacy Policy.
Account deletion does not relieve you of payment obligations incurred before deletion and may not automatically cancel charges already due. Where an automatically renewing Subscription is associated with the account, you should cancel the Subscription before requesting account deletion. If Forjyn processes an account deletion request while an active Subscription remains, Forjyn will also terminate future renewal charges unless otherwise disclosed and permitted by Applicable Laws.
31. Monitoring and Enforcement
Forjyn is not obligated to monitor all User activity or User Content.
However, Forjyn may review, investigate, preserve, restrict, remove or disclose User Content or account information where reasonably necessary to:
a. operate and secure the Service;
b. enforce these Terms;
c. investigate fraud, abuse or security incidents;
d. address complaints or intellectual-property claims;
e. protect Users, Forjyn or third parties;
f. comply with Applicable Laws or legal process; or
g. respond to lawful requests from regulators or authorities.
Forjyn’s decision not to take action in one instance does not waive its right to act in another instance.
32. Copyright and Intellectual-Property Complaints
If you believe content made available through the Service infringes your copyright or other intellectual-property rights, you may notify Forjyn at legal@forjyn.com.
A notice should include:
a. identification of the protected work or right;
b. identification and location of the allegedly infringing material;
c. your contact information;
d. an explanation of your claim;
e. a statement that the information provided is accurate; and
f. evidence that you are the owner or authorized representative.
Forjyn may remove or restrict access to disputed content and may request further information.
33. Service Availability and Changes
Forjyn may update, modify, improve, replace, suspend or discontinue features of the Service.
The Service may be unavailable because of:
a. scheduled maintenance;
b. emergency maintenance;
c. system failures;
d. Service Provider outages;
e. cybersecurity incidents;
f. events outside Forjyn’s reasonable control; or
g. changes required by law or security considerations.
Forjyn does not guarantee uninterrupted, error-free or permanently available access.
Where reasonably practicable, Forjyn will provide notice of material discontinuation affecting a paid Subscription.
If Forjyn permanently discontinues a prepaid paid Service before the end of the applicable paid period, Forjyn will provide, at its option, a prorated refund for the unused portion of the paid period, a reasonably comparable replacement service, or a service credit acceptable to the affected User, unless another remedy is required by Applicable Laws or agreed in writing.
34. Beta, Preview and Experimental Features
Forjyn may make beta, preview, early-access, pilot or experimental features available.
Such features may be incomplete, unstable, inaccurate or subject to change.
Unless expressly agreed otherwise:
a. beta features are provided for evaluation;
b. they may be modified or discontinued at any time;
c. service levels and support commitments do not apply;
d. outputs should not be relied upon for material decisions; and
e. confidential or production-critical information should not be submitted unless the feature is expressly approved for that use.
35. Disclaimer of Warranties
To the maximum extent permitted by Applicable Laws, the Service and all Platform Content, AI-generated outputs, matches, rankings, scores, communications and information are provided on an “as is” and “as available” basis.
Forjyn disclaims all representations, warranties and conditions, whether express, implied, statutory or collateral, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security and quality.
Without limiting the foregoing, Forjyn does not warrant that:
a. the Service will be uninterrupted, secure or error-free;
b. defects will be corrected;
c. information or User Content will be accurate or complete;
d. any User is legitimate, qualified, accredited, solvent or compliant;
e. any Investment Opportunity is lawful, suitable, complete or successful;
f. any User will enter into, complete or perform a transaction;
g. any investment will generate a return;
h. AI-generated outputs will be accurate, complete or appropriate; or
i. information disclosed to or accessible by other Users will remain confidential or will not be copied, downloaded, photographed, disclosed or misused by those Users.
Nothing in this Section limits Forjyn’s obligations to implement safeguards required by Applicable Laws or expressly described in the Privacy Policy.
36. Limitation of Liability
To the maximum extent permitted by Applicable Laws, Forjyn and its directors, officers, employees, contractors, affiliates, and licensors will not be liable for:
a. indirect, incidental, special, punitive, exemplary or consequential damages;
b. loss of profits, revenue, business, opportunity, investment, goodwill, data or anticipated savings;
c. investment losses or failed transactions;
d. decisions made in reliance on User Content, AI outputs, rankings, matches or Platform information;
e. conduct, representations or omissions of another User;
f. unauthorized disclosure or misuse of information by another User;
g. interruption, delay, loss or corruption of data; or
h. third-party services or events beyond Forjyn’s reasonable control.
To the maximum extent permitted by Applicable Laws, Forjyn’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
a. one hundred Canadian dollars; and
b. the total fees paid by you directly to Forjyn for the Service during the twelve months immediately preceding the event giving rise to the claim.
The exclusions and limitations in these Terms apply regardless of the form of action, whether in contract, tort, negligence, strict liability, statute or otherwise, and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by Applicable Laws, including liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct or other liability that cannot lawfully be limited.
Some jurisdictions do not permit certain exclusions or limitations. In such jurisdictions, the exclusions and limitations apply only to the maximum extent permitted.
37. Indemnification
To the maximum extent permitted by Applicable Laws, you agree to defend, indemnify and hold harmless Forjyn and its directors, officers, employees, contractors and affiliates from claims, proceedings, damages, losses, liabilities, penalties, costs and reasonable legal fees arising from or relating to:
a. your User Content;
b. your breach of these Terms;
c. your violation of Applicable Laws;
d. your infringement or violation of third-party rights;
e. your offering, promotion, purchase or sale of securities;
f. your investment or business decisions;
g. your misuse of Personal Information or Confidential Information;
h. disputes between you and another User; or
i. the conduct of persons accessing the Service through your account.
This indemnity does not apply to the extent the claim was caused by Forjyn’s breach of these Terms, gross negligence, wilful misconduct or violation of Applicable Laws.
Forjyn may control the defence of an indemnified claim with counsel of its choosing, and you agree to provide reasonable cooperation. Forjyn will not settle a claim in a manner that admits wrongdoing by you or imposes a non-monetary obligation on you without your consent, not to be unreasonably withheld.
Forjyn will provide reasonably prompt notice of an indemnified claim, provided that delayed notice will relieve you of your obligations only to the extent the delay materially prejudices your defence.
38. Suspension and Termination
You may stop using the Service at any time and may cancel a Subscription or request account deletion as described in these Terms.
Forjyn may suspend, restrict or terminate access where reasonably necessary to:
a. address a breach of these Terms;
b. prevent fraud, abuse or security threats;
c. protect Users, Forjyn or third parties;
d. respond to non-payment;
e. comply with Applicable Laws or legal process;
f. address prolonged inactivity;
g. resolve an account-ownership dispute; or
h. discontinue the Service.
Where reasonably practicable and appropriate, Forjyn will provide notice and an opportunity to remedy a breach before termination. Immediate action may be taken where delay could create legal, security, financial or reputational risk.
Upon termination:
a. your licence to use the Service ends;
b. you must stop accessing the Service;
c. outstanding amounts remain payable;
d. access to User Content may end; and
e. provisions intended by their nature to survive will remain in effect.
Suspension or termination does not limit other remedies available to Forjyn or affected parties.
Users are responsible for maintaining independent copies of important User Content. Following termination, Forjyn may delete or restrict access to User Content in accordance with its retention practices, the Privacy Policy and Applicable Laws.
39. Changes to These Terms
Forjyn may update these Terms to reflect:
a. changes to the Service;
b. changes in Applicable Laws;
c. security, fraud or operational requirements;
d. new features or technologies; or
e. changes to business practices.
The revised Terms will display an updated “Last Updated” date.
For material changes, Forjyn will provide reasonable advance notice through the Service, by email or through another appropriate method, unless the change must take effect sooner for legal or security reasons.
Material changes will apply prospectively unless otherwise required by law.
Where Applicable Laws require renewed consent or express acceptance, Forjyn will request it.
If you do not agree to revised Terms, you must stop using the Service and cancel any affected Subscription before the changes take effect.
Continued use after the effective date of revised Terms constitutes acceptance only to the extent permitted by Applicable Laws.
Changes will not retroactively deprive you of accrued statutory rights.
40. Governing Law and Jurisdiction
These Terms and disputes arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.
Subject to mandatory Applicable Laws, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.
Nothing in this section prevents Forjyn from seeking urgent injunctive or protective relief in another jurisdiction where necessary to protect intellectual property, confidential information, security or legal rights.
If you are a consumer, this section does not deprive you of mandatory rights or forums available under applicable consumer-protection law.
41. Good-Faith Dispute Resolution
Before commencing formal proceedings, you and Forjyn agree to make reasonable efforts to resolve the dispute informally.
A notice of dispute should include:
a. the name and contact information of the party raising the dispute;
b. a description of the dispute;
c. relevant account or transaction information; and
d. the requested resolution.
Notices to Forjyn must be sent to legal@forjyn.com.
This section does not prevent either party from seeking urgent relief, preserving a limitation period or exercising a mandatory statutory right.
42. Force Majeure
Forjyn will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labour disruption, government action, internet or telecommunications failure, utility failure, Service Provider outage, cyberattack or other similar event.
This section does not excuse payment obligations already incurred or obligations that cannot lawfully be excluded.
43. Assignment
You may not assign or transfer these Terms, your User Account or your rights under the Service without Forjyn’s prior written consent.
Forjyn may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets or transfer of the Service, subject to Applicable Laws and the Privacy Policy.
An attempted assignment contrary to this section is void to the extent permitted by law.
44. Notices
Forjyn may provide notices through:
a. the Service;
b. email sent to the address associated with your account;
c. an account notification; or
d. another legally permitted electronic method.
You are responsible for keeping your contact information current.

45. Entire Agreement
These Terms, the Privacy Policy, applicable order forms and any additional terms expressly incorporated by reference constitute the entire agreement between you and Forjyn concerning the Service.
They supersede prior or contemporaneous discussions, representations and agreements concerning the same subject matter, except for a written agreement expressly stated to supersede these Terms.
46. Order of Precedence
If there is a conflict among applicable documents, the following order applies unless expressly stated otherwise:
a. a signed written enterprise or customer agreement;
b. an applicable order form;
c. feature-specific additional terms;
d. these Terms; and
e. incorporated policies.
The Privacy Policy governs the handling of Personal Information and will not be overridden by a less protective interpretation of these Terms where Applicable Laws require otherwise.
47. Severability
If any provision is held invalid, illegal or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted.
If modification is not permitted, the affected provision will be severed, and the remaining provisions will continue in effect.
48. Waiver
A waiver must be in writing and signed by the party granting it.
Failure or delay in exercising a right does not waive that right.
A waiver on one occasion does not constitute a waiver on another occasion.
49. No Third-Party Beneficiaries
Except for persons expressly entitled to indemnification or liability protections under these Terms, these Terms do not confer enforceable rights on third parties.
50. Independent Parties
You and Forjyn are independent contracting parties.
Nothing in these Terms creates a partnership, joint venture, franchise, employment, agency or fiduciary relationship.
Neither party may bind the other except as expressly authorized in writing.
51. Interpretation
Headings are for convenience only and do not affect interpretation.
“Including” means “including without limitation.”
The singular includes the plural and vice versa where context requires.
References to laws include amendments, replacements and associated regulations.
These Terms will not be interpreted against a party solely because that party drafted them.
52. Survival
Provisions that by their nature should survive termination will survive, including provisions concerning:
a. ownership and intellectual property;
b. User Content licences needed for lawful retention and backups;
c. confidentiality;
d. accrued payment obligations;
e. disclaimers;
f. limitation of liability;
g. indemnification;
h. dispute resolution;
i. governing law; and
j. interpretation.
53. Consumer Rights
Nothing in these Terms waives or limits a substantive or procedural right that cannot lawfully be waived or limited.
Where these Terms conflict with a mandatory consumer-protection requirement, the mandatory requirement will govern to the extent of the conflict.
